Business identity
These Terms of Service are between you and Daniel Chen Jun Wang, a sole proprietor who operates the Adherely service. In these terms, “Adherely,” “we,” “us,” and “our” refer to Daniel Chen Jun Wang.
Merchant subscription terms
These merchant terms apply when a business creates an Adherely merchant account, starts a trial, connects a store, or authorizes a paid plan. The person acting for the merchant confirms that they are authorized to bind that business to these terms.
A written onboarding confirmation or order form may add commercial details for a paid plan. If it conflicts with these terms, the written confirmation controls only for the conflicting commercial detail.
1. Service and merchant accounts
Adherely provides tools for merchants to create product-use programs, invite or enroll customers, record requested check-ins, display progress, manage eligible rewards, and support better-timed refill communications. Merchants are responsible for their account activity, authorized users, store configuration, product information, and customer-facing content they publish through the service.
Account credentials must be kept confidential. Contact support@adherely.co promptly if account access may have been compromised.
2. Fourteen-day trial
A new merchant account receives a 14-day trial. The trial ends without charge unless the merchant affirmatively authorizes a paid plan and its billing details. Creating an account or allowing the trial to expire does not by itself authorize Adherely to charge the merchant.
Trial access may be limited, changed, or ended if the service is misused. When a trial ends without paid activation, Adherely may suspend merchant access while handling retained data under the Privacy Policy.
3. Plans, usage, and paid activation
Published plans are priced monthly in U.S. dollars. A merchant uses the lowest plan that covers both its monthly tracked orders and active customers. A tracked order contains a product connected to an Adherely program. An active customer is a unique enrolled customer with an active program during the billing month.
Exceeding a published limit does not automatically authorize an overage charge or plan upgrade. Adherely will confirm any different plan, capacity arrangement, price, billing start date, and payment instructions with the merchant before charging it.
4. Fees, invoices, and taxes
Once a merchant authorizes a paid plan, it agrees to pay the fees on the schedule stated in the applicable onboarding confirmation or order form. Published prices exclude taxes unless stated otherwise. Merchants are responsible for applicable sales, use, and similar transaction taxes, other than taxes based on Adherely's net income.
Adherely may suspend paid service after reasonable notice if an undisputed payment is overdue. A merchant should report a disputed or incorrect charge promptly so it can be reviewed before further collection activity.
5. Cancellation and refunds
A merchant may stop a trial or cancel future paid service by following the Cancellation and Refund Policy. That policy explains when cancellation takes effect, what happens to future invoices, and when a refund or credit may be available.
6. Merchant responsibilities
Merchants must use Adherely lawfully and provide accurate product, reward, and program information. They must have the rights needed for content, store data, trademarks, and instructions they provide. A merchant may not use Adherely to send unlawful, deceptive, abusive, or unsolicited communications or to make unsupported medical or health claims.
Shopify order data does not replace a consumer's SMS consent. Merchants must not treat a purchase, scan, or imported contact as permission for recurring texts. Adherely's protected consent flow, STOP handling, and protected disclosures may not be removed or obscured.
Merchants may not use Adherely messaging for businesses, products, or use cases prohibited by Twilio or the receiving carriers. This includes cannabis, CBD, kratom, drug paraphernalia, and other prohibited messaging categories. Restrictions may apply to the business itself even when a message contains only a reminder or verification code. Merchant eligibility and the proposed messaging use case must be reviewed before live SMS is enabled. Creating a merchant account does not approve that merchant or its products for SMS.
7. Third-party services and rewards
Store, authentication, telecommunications, hosting, and database integrations are operated by third parties. Their availability and separate terms may affect the service. Merchants authorize Adherely to exchange the minimum information needed to perform merchant- requested integration actions.
Merchants remain responsible for reward terms, inventory, discount eligibility, product fulfillment, customer support, and compliance with the rules of their commerce platform. Adherely does not guarantee that a check-in program will produce a particular adherence, revenue, or reorder result.
8. Data protection and security
The Privacy Policy explains how Adherely handles information. The Data Processing Addendum applies when Adherely processes personal data on a merchant's behalf. Current service providers are listed on the Subprocessors page.
9. Ownership and limited license
Merchants retain ownership of their trademarks, content, and data. They grant Adherely a limited license to host, process, display, and transmit those materials only as needed to provide and secure the service. Adherely retains ownership of its software, authored templates, documentation, design system, and service technology.
10. Suspension, termination, and service changes
Adherely may suspend or terminate access for material breach, unlawful use, security risk, nonpayment, or conduct that threatens customers or the service. When practical, Adherely will provide notice and an opportunity to fix a remediable issue. Terms that by their nature should continue, including payment obligations, ownership, confidentiality, and liability limits, survive termination.
The service may change as it develops. Adherely will not materially reduce an active paid plan without notice, except where a change is needed to address law, security, abuse, or a third-party platform requirement.
11. Disclaimers and liability
The service supports consumer product routines and merchant retention programs. It is not medical, legal, tax, or financial advice. To the extent permitted by law, the service is provided without implied warranties and neither party is liable for indirect, special, incidental, punitive, or consequential damages. Adherely's aggregate liability arising from a paid plan will not exceed the fees the merchant paid for that plan during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law does not allow them.
12. Updates and merchant contact
Adherely may update these terms as the service or law changes. Material changes will apply prospectively after reasonable notice. Continued use after the stated effective date means the merchant accepts the updated terms. Questions about merchant terms or billing can be sent to support@adherely.co.
Consumer SMS program terms
The following terms apply to consumers who join the Adherely Daily Check-In SMS Program. They do not create a paid merchant subscription.
1. The program
Adherely provides recurring automated informational SMS messages that may include product-use reminders, streak and progress updates, and related service information. If you separately choose the optional marketing program, Adherely may also send reward notices, discount offers, and refill promotions.
2. Consent to receive messages
SMS participation is entirely optional. You may decline every SMS checkbox and still make a purchase, create or use an account, access other Adherely services, and use the public web-only daily check-in without providing a mobile number. Creating an account, using Adherely, or accepting these terms does not provide SMS consent. Choose “Continue without SMS” at any step, or leave the SMS boxes unchecked and submit the form to open the web-only check-in. That service stores check-in history in your browser and sends no texts.
If you choose SMS, you enter your own mobile number and actively select the separate, optional, unchecked informational SMS checkbox. By selecting it and choosing “Confirm my optional SMS opt-in,” you provide express written consent to recurring automated informational messages from Adherely, including daily product-use reminders and progress updates.
Daily-SMS subscribers may additionally select the separate marketing SMS checkbox, which is optional and unchecked by default. Daily reminders do not require marketing consent. If you actively select the marketing checkbox, you separately consent to recurring automated marketing messages about rewards, discount offers, and refill promotions. Neither category of SMS consent is a condition of a purchase, account, transaction, or service.
You confirm that you are the subscriber or customary user of the mobile number and are authorized to provide this consent. Twilio Verify sends one phone-ownership confirmation before SMS enrollment is completed. That one-time code is delivered separately from the recurring A2P campaign; it confirms ownership of the number you chose for SMS.
3. Frequency and charges
Informational message frequency is up to one message per day plus occasional service messages. Optional marketing message frequency varies, up to four marketing messages per month. Message and data rates may apply according to your wireless plan.
Carriers are not liable for delayed or undelivered messages.
4. Opting out and getting help
Reply STOP to cancel at any time. You may receive one final message confirming your opt-out. After opting out, you will no longer receive messages from this program unless you enroll again.

5. Wellness information
Adherely supports consistency with consumer product routines. It does not provide medical advice, diagnosis, treatment, or dosing guidance. Follow product labels and advice from a qualified professional.
6. Availability and changes
Message delivery may be affected by carrier availability, device settings, or network conditions. We may change or discontinue the program and may update these terms. The updated date above shows when these terms were last revised.
